Terms of Service

These Terms of Service ("Terms") govern your access to and use of Fuelified's technology-enabled managed services ("Services"). By engaging Fuelified or signing an Annual Service Agreement, you ("Client," "Dealership," "Dealer Group") agree to be bound by these Terms.
Fuelified operates as a Tech-Enabled Managed Service Provider, not a software-as-a-service platform. We build, operate, and manage your digital Parts & Accessories division on your behalf.
1. Scope of Services
Fuelified provides an outsourced digital P&A operation that may include:
- •Storefront design, build, branding, and ongoing management
- •Catalog structure, SKU curation, and category expansion
- •Supplier, distributor, and vendor integration
- •Fulfillment routing, workflow execution, and operational support
- •Multichannel publishing across Google, Meta, email, and other channels
- •Customer communication workflows
- •Continuous optimization across catalog, pricing, merchandising, and routing
- •Dedicated operational management by Fuelified personnel
The exact services provided are outlined in each Client's Annual Service Agreement.
2. Confidentiality and Data Protection
Fuelified may access confidential dealership information, including:
- •Vendor pricing and discount structures
- •Distributor agreements and supply-chain data
- •Operational processes and performance metrics
- •Customer information and sales insights
- •Branding, content, and internal assets
Fuelified agrees to:
- •Maintain strict confidentiality
- •Never share Client information with other dealerships or third parties
- •Use Client information exclusively to deliver the Services
- •Restrict internal access to essential Fuelified personnel only
A Mutual Non-Disclosure Agreement (NDA) is signed at the time of contracting to formalize this protection.
3. Ownership of Digital Assets
Because Fuelified acts as an external P&A operations partner — not a SaaS platform — you retain ownership of all customer-facing assets created during the engagement, including:
Client-Owned Assets
- •Your digital storefront and platform instance (Shopify/Magento/etc.)
- •Product catalog, categories, metadata, and merchandising
- •Email flows, automations, and CRM configurations
- •Connected sales channels (Google Merchant Center, Meta Commerce, etc.)
- •All creative assets, banners, artwork, copy, and campaign materials
- •Operational configurations customized for your dealership
Fuelified retains ownership of its internal methods and tools, including:
- •Proprietary routing frameworks
- •Catalog scoring systems
- •Internal automation scripts
- •Operational playbooks and processes
These remain exclusive to Fuelified and are not transferred.
4. Access, Offboarding, and Return of Assets
At the end of the contractual term—whether renewed or not—Fuelified will:
- •Return full administrative access to all Client-owned storefronts
- •Transfer catalog data, categories, media assets, and merchandising structures
- •Transfer email campaigns, flows, automations, and audiences
- •Transfer multichannel accounts and credentials (GMC, Meta, etc.)
- •Deliver operational documentation and routing configurations
- •Conduct an offboarding call with the Client
Fuelified does not retain access after termination unless requested for transition support.
All digital assets and configurations created during the partnership remain the property of the Client.
5. Client Responsibilities
To ensure accurate and efficient execution, the Client agrees to:
- •Provide requested information during onboarding
- •Maintain relationships with vendors and distributors
- •Approve categories or products requiring dealership authorization
- •Support in-store pickup workflows where applicable
- •Notify Fuelified of significant operational changes
Fuelified does not require additional staffing or internal workload beyond these responsibilities.
6. Fees and Billing
Fuelified's Services are billed through:
- •A fixed Annual Service Investment (Paid-in-Full or annualized installments)
- •Add-on services or expansions, if elected
- •Additional rooftop or enterprise configurations, if applicable
Fuelified does not bill per user or per seat and does not operate on a SaaS licensing model.
All financial terms are outlined in the Annual Service Agreement.
7. Term and Renewal
The standard term of service is 12 months.
The agreement renews automatically unless written notice is provided 60 days prior to renewal.
8. Service Limitations
Fuelified manages operational workflows but is not responsible for:
- •Distributor or vendor inventory inaccuracies
- •Shipping delays or SLA failures from third-party vendors
- •Manufacturer defects or product issues
- •Outages or disruptions from third-party platforms (Shopify, Meta, Google, etc.)
Fuelified will support mitigation and resolution wherever possible.
9. Limitation of Liability
Fuelified's liability for any claim arising under these Terms is limited to the amount paid by the Client during the preceding twelve (12) months. Fuelified is not liable for indirect, incidental, special, punitive, or consequential damages.
10. Termination for Cause
Either party may terminate the agreement for cause if:
- •A material breach is not remedied within thirty (30) days of written notice
- •Legal, regulatory, or structural issues prevent continued service
- •Either party becomes insolvent
Upon termination, Fuelified will complete the Asset Transfer outlined in Section 4.
11. Governing Law
For Clients in Canada: governed by the laws of Quebec.
For Clients in the United States: governed by the laws of the Client's operating state.
